Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Iterdex mobile application and website (together, the “Service”), operated by Iterdex (“Iterdex”, “we”, “us”, or “our”). By creating an account or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Your use of the Service is also subject to our Privacy Policy and Disclaimer, which are incorporated into these Terms by reference.

1. Eligibility

The Service is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using the Service, you warrant and represent that you are at least eighteen (18) years of age and that you have the full authority, right, and capacity to enter into and comply with these Terms. If you use the Service on behalf of an entity, you represent that you are authorised to accept these Terms on its behalf.

2. The Service

The Service is a travel-planning tool. It is not a travel agent, tour operator, or booking service, and it does not sell or book flights, accommodation, transport, or tours. Any booking or purchase you make with an outside provider linked from the Service is governed by section 8.

3. Accounts

To use most features you must create an account, using an email address and password or a third-party sign-in service such as Apple or Google. You agree to provide accurate and current account information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you must notify us promptly at support@iterdex.com of any unauthorised use. You may not use a username that impersonates another person, infringes a trademark, or is offensive or misleading.

4. User content

You retain all rights you hold in the trips, notes, and other content you submit to the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display Your Content, solely as necessary to operate, provide, and improve the Service and to carry out actions you initiate, including synchronising your trips across your devices and displaying a trip to persons with whom you share or publish it. This licence terminates when you delete Your Content or your account, except for copies retained by persons with whom a published trip was shared and for routine backups that expire in the ordinary course. You are solely responsible for Your Content and represent that you have the rights necessary to submit it and that it does not infringe any third-party rights or violate any law.

5. Sharing and publishing

Any sharing of a trip is at your election. When you generate a share link, any person with that link may view the trip. When you publish a trip, it may be viewed by any person and indexed by search engines. You may stop sharing or unpublish a trip at any time through the Service, although cached or previously saved copies may persist for a period. You are responsible for the contents of any trip you share or publish. Published trips reflect the views of their author and not those of Iterdex.

6. Prohibited use

You agree not to submit content or engage in conduct that:

  • violates any applicable law or promotes unlawful activity;
  • is defamatory, hateful, discriminatory, harassing, obscene, or threatening;
  • infringes the intellectual property, privacy, or other rights of any person;
  • discloses the private information of another person;
  • impersonates any person or entity;
  • constitutes spam or unauthorised advertising or solicitation;
  • contains malware or is otherwise designed to disrupt, damage, or gain unauthorised access to the Service or any system; or
  • contains deliberately false or misleading information, including fabricated place or location data.

You further agree not to: (a) scrape, crawl, harvest, or copy the Service or its content by automated means without our permission; (b) reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits; (c) resell, sublicense, or commercially exploit the Service or its content without our permission; or (d) interfere with, overload, or circumvent the security or rate limits of the Service.

7. Content moderation, reports, and appeals

We may review, refuse, remove, or restrict access to content, or suspend or terminate accounts, where we reasonably believe these Terms have been breached or where required by law. To report content you believe is unlawful or in breach of these Terms, contact support@iterdex.com. Where we restrict or remove your content or account, we will inform you of the decision and the reasons for it, except where doing so would be unlawful or would compromise security or an investigation. If you believe the decision is incorrect, you may request a review by contacting support@iterdex.com within 6 months of the decision, and we will respond within a reasonable time. This procedure is provided in accordance with the EU Digital Services Act (Regulation (EU) 2022/2065), where applicable.

To report content that infringes your copyright or other intellectual property, contact support@iterdex.com with the subject “Copyright Notice” and include: identification of the work claimed to be infringed; identification of the material and its location within the Service; your contact details; a statement of your good-faith belief that the use is not authorised; and a statement that the information in your notice is accurate and that you are the rights holder or authorised to act on its behalf. Submitting a knowingly false notice may give rise to liability.

8. Travel information and third-party services

The Service provides suggestions and estimates, including places, opening hours, durations, travel times, and public-transport schedules and times, derived from third-party sources (including map, place, transit, and activity data) and from automated estimates. Such information may be incomplete, inaccurate, or out of date and may change without notice. Where a price is shown in a currency other than the provider’s own, it is converted using third-party exchange rates and is an estimate only; the amount you are actually charged, and the rate applied, are set by the provider, your card issuer, or the payment processor. You should independently verify all material details, including opening hours, prices and any currency-converted amounts, availability, entry requirements, and travel conditions, before relying on them. The Service does not provide professional travel, legal, health, or safety advice, and you are responsible for your own travel decisions, including visas, insurance, and compliance with local requirements. See the Disclaimer.

The Service may display activities offered by third-party providers and may link you to those providers to complete a booking or purchase. Any activity price shown in the Service is indicative only, may be out of date or inaccurate, and is not guaranteed; the price you actually pay is the one set by the provider at the time of booking. Any such booking, purchase, price, cancellation, or refund is solely between you and the relevant provider and is governed by that provider’s terms. We do not control and are not responsible for third-party content, availability, or conduct. The categories of providers on which the Service relies are described in the Privacy Policy.

9. Beta access, subscriptions, and fees

Free beta. While the Service is in beta, it is free to use. You don’t need a payment card or a purchase, and nothing renews or turns into a paid plan automatically. Beta features may be incomplete, may change, or may be removed. We may change or end the beta at any time. Paid features apply to you only if you choose to subscribe.

After the beta. If paid plans are introduced and you choose not to subscribe, trips you already created remain viewable and shareable, but some features may be limited until you subscribe.

Subscriptions and auto-renewal. If we offer paid features, they will come as a monthly or annual plan, at the prices shown in the app before you confirm a purchase. Payment is charged to your App Store or Google Play account at confirmation of purchase. At the end of each billing period your subscription renews automatically at the then-current price for the same period, unless you cancel at least 24 hours before the period ends. You can view, manage, or cancel your subscription, and turn off auto-renewal, in your App Store or Google Play account settings; deleting the app does not cancel a subscription.

Fee changes. We may change subscription fees. A change takes effect at the end of your then-current billing period, and we or the app store will give you reasonable prior notice so you can cancel before it applies. Where the app store requires your consent to a price increase, your subscription will not renew at the increased price until you agree. Continuing your subscription after a fee change takes effect is your agreement to the new fee.

Refunds and cancellation. You may cancel at any time as described above; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law or granted by the app store under its own policies, paid subscription fees are non-refundable, and partial periods are not refunded. Because subscriptions are billed through the app stores, refund requests are handled by Apple or Google under their terms.

10. Consumer rights (EU/EEA/UK)

If you are a consumer in the EU, EEA, or UK, you retain all mandatory rights under the law of your place of residence, and nothing in these Terms limits them. Where you purchase a subscription, the price and billing terms are presented to you before you confirm, and billing, cancellation, and any right of withdrawal or refund are handled through the app store from which you subscribe, in addition to any non-waivable statutory rights you have.

11. Feedback

If you submit feedback or suggestions regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose without obligation or compensation to you. Feedback is not confidential.

12. Intellectual property

The Service, including its software, design, branding, and the content we provide (excluding Your Content), is owned by Iterdex and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial travel planning. No other rights are granted. You may not use our name or logo without our prior written permission.

13. Availability, changes, and backups

We may modify, suspend, or discontinue any part of the Service, or restrict access to it, at any time. Access may be interrupted for maintenance or for reasons beyond our control. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We perform backups on a regular schedule but do not guarantee against loss or corruption of data, and you should retain your own copy of any content that is important to you.

14. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, be accurate or reliable, or operate without interruption or error. Nothing in this section affects consumer rights that cannot be excluded under applicable law.

15. Limitation of liability

To the fullest extent permitted by law, Iterdex and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Service, including any reliance on travel information (including where such information is provided by third-party data providers) or any third-party service. To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold Iterdex harmless from any claims, losses, and reasonable costs arising out of Your Content, your use of the Service, or your breach of these Terms, except to the extent the claim results from our own wrongdoing.

17. Termination

You may stop using the Service at any time and may delete your account through Account → Delete account in the app (see the Privacy Policy for what deletion removes). We may suspend or terminate your access if you breach these Terms or where we reasonably determine it is necessary. Provisions that by their nature should survive termination, including granted licences, feedback, intellectual property, disclaimers, limitation of liability, and indemnification, survive.

18. Changes to these Terms

We may revise these Terms from time to time. Where a change is material, we will make reasonable efforts to provide notice, for example by email or within the Service, before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

19. Governing law and disputes

These Terms are governed by the laws of France, without regard to its conflict-of-law rules. In the event of a dispute, you agree first to contact us at support@iterdex.com to seek an informal resolution. If the dispute cannot be resolved informally, the courts of Paris, France, will have jurisdiction, except that we may seek urgent injunctive relief in any competent court. If you are a consumer, you retain the benefit of any mandatory protections of the law of your place of residence, and the EU Online Dispute Resolution platform (https://ec.europa.eu/odr) is available to EU consumers.

20. General

Severability: if any provision of these Terms is held unenforceable, the remaining provisions continue in full force, and the affected provision applies to the greatest extent permitted by law. No waiver: our failure to enforce any right or provision is not a waiver of it. Assignment: you may not assign your rights under these Terms; we may assign ours to an affiliate or successor. Entire agreement: these Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and us regarding the Service.
